Strata Desk Client Agreement

This Client Service Agreement (“Agreement”) is entered into between StrataDesk (“Service Provider,” “we,” “us”) and the client (“Client,” “you”).

By checking the acceptance box and completing payment, you agree to be legally bound by this Agreement.

Use of the service is also subject to StrataDesk’s Privacy Policy, which is made available prior to acceptance.

This Agreement applies solely to business-to-business (B2B) services and is not intended for consumer use.

Services are billed monthly in advance

AI is highly accurate but not perfect

No guaranteed business results

No refunds once services are live

The full terms are outlined below.

1. Services Provided

StrataDesk provides AI-powered receptionist and call-handling services, which may include but are not limited to:

Answering inbound phone calls

Booking appointments based on availability rules

Responding to frequently asked questions

Routing urgent calls when applicable

Call summaries and basic analytics

Services are provided based solely on the information supplied by the Client during onboarding.

2. Client Responsibilities

The Client agrees to:

Provide accurate and up-to-date business information

Notify StrataDesk of any changes to hours, services, or pricing

Review performance and report issues promptly

Understand that AI responses are limited to provided instructions

StrataDesk is not responsible for errors caused by incorrect, incomplete, or outdated information supplied by the Client.

3. AI Limitations Disclaimer

The Client acknowledges that:

The service uses artificial intelligence and automation

AI may occasionally misunderstand or misinterpret callers

100% accuracy or uninterrupted operation is not guaranteed

StrataDesk will make reasonable efforts to correct reported issues.

4. No Guarantee of Results

StrataDesk does not guarantee:

A specific number of calls or bookings

Increased revenue or customer satisfaction

Business growth or performance outcomes

Results depend on external factors beyond StrataDesk’s control.

5. Fees & Billing

Services are billed monthly in advance

Payments are processed automatically unless canceled

Failure to pay may result in suspension or termination of service

All prices are listed on the website or agreed upon in writing.

6. Refund Policy

Due to the nature of digital and AI-based services:

No refunds are issued once services have been activated and made available to the Client.

Refund requests must be submitted within 7 days of service start

Approved refunds are issued at StrataDesk’s sole discretion

Refunds will not be provided for:

Change of mind

Low call volume

Business dissatisfaction

Client failure to provide accurate onboarding information

7. Trial Period (If Offered)

If a trial is offered:

It is limited in duration and functionality

Only one trial per business is permitted

Paid service begins automatically unless canceled

8. Cancellation & Termination

The Client may cancel at any time with 14 days written notice

No refunds are provided for partial months

StrataDesk reserves the right to terminate services for:

Non-payment

Misuse of the service

Abusive or uncooperative behavior

Unlawful use of the service

9. Confidentiality

Both parties agree to keep all shared business information confidential.

StrataDesk will not sell or disclose Client data to third parties except as required to provide the service or by law.

10. Limitation of Liability

To the maximum extent permitted by law:

StrataDesk is not liable for indirect or consequential damages

Liability is limited to the amount paid by the Client in the previous 30 days

StrataDesk is not responsible for lost revenue, missed calls, or business interruption

11. Indemnification

The Client agrees to indemnify and hold harmless StrataDesk from any claims arising from:

Misuse of the service

Incorrect information provided by the Client

Legal disputes between the Client and their customers

12. Governing Law

This Agreement shall be governed by the laws of Ontario, Canada. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

13. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions or agreements.

Any amendments must be made in writing.

14. Acceptance by Electronic

Agreement and Payment

By checking the acceptance box and completing payment, the Client agrees that:

This Agreement is legally binding

No physical signature is required

Electronic acceptance has the same legal effect as a handwritten signature
